1. Introduction

These Terms of Service ("Terms") govern your access to and use of the website, platform, and related services (collectively, the "Services") operated by DEGX Concept Limited (RC 8247795), a company duly incorporated under the laws of the Federal Republic of Nigeria with its registered address at Ada-George Road, Port Harcourt, Rivers State, Nigeria ("DEGX", "we", "our", or "us").

By accessing or using our Services, creating an account, or engaging with the platform in any manner, you confirm that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

DEGX provides a digital asset facilitation platform that enables users to access supported digital asset transaction services, including:

• Facilitating peer-to-peer digital asset transactions;
• Digital asset deposits and withdrawals;
• Access to digital asset pricing information;
• Other related services as may be introduced in compliance with applicable laws.

DEGX does not provide investment advice, portfolio management, or financial advisory services.

Nothing on the platform constitutes a recommendation or solicitation to buy or sell any digital asset.

4. Regulatory and Compliance Notice

DEGX operates in accordance with applicable Nigerian laws and maintains internal compliance procedures.

We implement risk-based:

• Anti-Money Laundering (AML) controls
• Counter-Terrorist Financing (CFT) procedures
• Know Your Customer (KYC) verification processes
• Transaction monitoring systems

We reserve the right to:

• Request identity verification documents at any time;
• Suspend, restrict, or terminate accounts for compliance review;
• Delay or refuse transactions pending investigation;
• Report suspicious activities to relevant authorities where required by law.

Failure to comply with verification requests may result in account suspension.

• You may lose all funds involved in a transaction;

Regulatory Risk

Technology Risk

Blockchain networks may experience congestion, delays, forks, or technical vulnerabilities.

You use the Services at your own risk.

8. Custody and Security

Digital assets may be stored using a combination of hot and cold wallet solutions.

While DEGX implements commercially reasonable security measures, no system is entirely immune from cyber risks.

You acknowledge and accept the inherent security risks associated with digital asset storage and transfer.

9. User Obligations

You agree not to:

• Engage in fraud, money laundering, terrorist financing, or illegal activities;
• Manipulate markets or engage in deceptive trading practices;
• Attempt unauthorized access to the platform;
• Interfere with platform security or operations.

Violation of this section may result in immediate account suspension and legal action.

10. Service Modifications

We may modify, suspend, restrict, or discontinue any part of the Services at any time without prior notice, where necessary for:

• Legal compliance;
• Security concerns;
• Operational improvements.

11. Intellectual Property

All platform content, including text, graphics, software, logos, and materials, is the property of DEGX Concept Limited or its licensors.

Our total liability shall not exceed the total fees paid by you to DEGX within six (6) months preceding the event giving rise to the claim, except where prohibited by law.

You agree to indemnify and hold harmless DEGX Concept Limited, its directors, officers, employees, and affiliates from any claims, liabilities, damages, or expenses arising from:

• Your violation of these Terms;
• Your misuse of the Services;
• Your breach of applicable laws.

DEGX shall not be liable for failure or delay in performance caused by events beyond our reasonable control, including but not limited to:

• Regulatory changes;
• Government actions;
• Banking disruptions;
• Cyberattacks;
• Natural disasters;
• Network failures.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising out of or relating to these Terms shall be resolved in Nigeria in accordance with the Arbitration and Mediation Act 2023 of the Federal Republic of Nigeria.

18. Changes to Terms

We may update these Terms from time to time.

Material changes will be communicated through the platform or via email.

Continued use of the Services constitutes acceptance of the revised Terms.
