User Agreement

1. Introduction

This User Agreement ("Agreement") governs your access to and use of the website, trading platform, mobile applications (if applicable), and all related products and services (collectively, the "Services") provided by DEGX Concept Limited (RC 8247795), a company duly incorporated under the laws of the Federal Republic of Nigeria, with its registered office at Ada-George Road, Port Harcourt, Rivers State, Nigeria ("DEGX", "Company", "we", "our", or "us").

By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement, our Privacy Policy, AML/CFT Policy, and any additional policies referenced herein.

2. Definitions

• "Account" means your personal DEGX trading account.
• "Digital Assets" means cryptocurrencies, tokens, or blockchain-based assets supported by DEGX.
• "Services" means all products, services, content, features, technologies, or functions offered by DEGX.
• "User" means any individual or entity accessing or using the Services.
• "Platform" means the DEGX website, trading interface, and related infrastructure.

3. Eligibility

To use the Services, you must:

• Be at least 18 years old
• Have legal capacity to enter binding contracts
• Not reside in a restricted or sanctioned jurisdiction
• Not be subject to sanctions under Nigerian or international law
• Not have been previously suspended by DEGX

You represent that all information provided is accurate and complete.

4. Account Registration & Verification

To access certain Services, you must create an Account and:

• Provide accurate and complete information
• Maintain updated information
• Safeguard your login credentials
• Notify us immediately of unauthorized access

You are responsible for all activity under your Account.

4.1 KYC & AML Compliance

DEGX complies with Anti-Money Laundering (AML) and Counter-Terrorist Financing (CFT) regulations.

We may:

• Request identity verification documents
• Monitor transactions
• Suspend or freeze accounts pending review
• Report suspicious activities to authorities

5. Nature of Services

DEGX operates as a digital asset technology platform facilitating cryptocurrency transactions.

DEGX:

• Is not a bank
• Is not a licensed investment adviser unless expressly stated
• Does not guarantee profits
• Does not insure digital assets unless explicitly stated

6. Fees

Your use of the Services may incur fees including:

• Trading fees
• Withdrawal fees
• Network fees
• Conversion fees

All fees are displayed on the Fee Schedule. Fees may be modified with notice. Continued use constitutes acceptance of updated fees.

Fees are deducted from your account balance at the time of transaction.

7. User Obligations

You agree to:

• Comply with all applicable laws
• Provide truthful information
• Maintain account security
• Pay applicable taxes
• Report suspicious activity

8. Prohibited Activities

You may not:

• Engage in money laundering or terrorist financing
• Conduct fraud or market manipulation
• Exploit platform vulnerabilities
• Operate multiple accounts to bypass restrictions
• Circumvent security systems
• Use the Services for illegal purposes

9. Suspension & Account Freezing

DEGX may suspend, restrict, or freeze accounts if:

• Required by law
• Suspicious activity is detected
• You violate this Agreement
• Regulatory inquiries arise

DEGX shall not be liable for losses during compliance investigations.

10. Intellectual Property

All platform content, software, logos, and materials are owned by DEGX or its licensors and protected under intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license for personal use only.

11. Termination

You may terminate this Agreement by closing your Account.

DEGX may suspend or terminate access at its discretion, including for:

• Breach of this Agreement
• Fraudulent activity
• Regulatory compliance requirements
• Prolonged inactivity

You remain liable for obligations incurred prior to termination.

12. Risk Disclosure & Disclaimer

Digital asset trading involves significant risk, including:

• Price volatility
• Liquidity risk
• Technology failure
• Regulatory uncertainty

Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

DEGX does not guarantee uninterrupted access or error-free operation.

13. Limitation of Liability

To the maximum extent permitted by law, DEGX shall not be liable for indirect, incidental, special, consequential, or punitive damages.

DEGX's total liability shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless DEGX, its directors, officers, employees, and affiliates from any claims arising from:

• Your use of the Services
• Your violation of this Agreement
• Your breach of applicable laws
• Your violation of third-party rights

15. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the Federal Republic of Nigeria.

Any dispute arising from this Agreement shall first be resolved through good-faith negotiation.

If unresolved, disputes shall be submitted to binding arbitration in Nigeria in accordance with the Arbitration and Mediation Act 2023.

16. Force Majeure

DEGX shall not be liable for failure or delay caused by events beyond its reasonable control, including:

• Government actions
• Regulatory changes
• Cyberattacks
• Internet outages
• Natural disasters

17. Changes to Agreement

We may modify this Agreement at any time. Material changes will be communicated via platform notice or email.

Continued use constitutes acceptance of revised terms.
